Terms of Service

1. Introduction
1.1. Agreement
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "you", "your") and FOP TYKHOKHOD DMYTRO OLEKSANDROVYCH("Duckhub", "Platform", "we", "us", "our"), governing your access to and use of the Duckhub service.
1.2. About Duckhub
Duckhub is a Software-as-a-Service (SaaS) platform for creating and managing digital QR menus for food service establishments including restaurants, cafes, bars, and similar businesses.
1.3. Acceptance of Terms
By creating an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Platform.
1.4. Eligibility
By using the Platform, you represent and warrant that:
- You are at least 18 years of age
- You have the legal authority to enter into this agreement
- If acting on behalf of a business, you have the authority to bind that business to these Terms
- Your use of the Platform does not violate any applicable laws or regulations
2. Services
2.1. Platform Features
Duckhub provides the following services based on your subscription plan:
- Creating and editing digital menus
- Generating QR codes for menu access
- Hosting public menus on Duckhub subdomains
- Table management and customer notifications via Telegram
- Analytics and reporting (on eligible plans)
- Additional features as described on our subscription plan
2.2. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. The Platform is provided "as is" and "as available." We reserve the right to modify, suspend, or discontinue any feature with reasonable notice.
2.3. Service Modifications
We may update, modify, or discontinue features of the Platform at any time. Material changes affecting your subscription will be communicated via email at least 30 days in advance.
3. Account Registration and Security
3.1. Account Creation
To use the Platform, you must create an account by providing accurate and complete information, including a valid email address.
3.2. Account Security
You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
3.3. Account Termination
We reserve the right to suspend or terminate accounts that:
- Violate these Terms
- Engage in fraudulent or illegal activity
- Remain inactive for extended periods
- Fail to pay subscription fees
4. Subscription and Billing
4.1. Subscription Plans
We offer multiple subscription plans with varying features and limits. Current plans and pricing are available during sign-up. All prices are in USD unless otherwise specified.
4.2. Payment Processing
Our order process is conducted by our online reseller PayPro Global, Inc. PayPro Global is the Merchant of Record for all our orders. PayPro Global provides all payment-related customer service inquiries and handles returns. By purchasing a subscription to DuckHub, you also agree to PayPro Global's Terms and Conditions.
4.3. Free Trial
New users may be eligible for a free trial period as specified during registration. No payment information is required to start a trial. At the end of the trial, access to paid features will be restricted, your data will be retained for a reasonable period, and you may upgrade to a paid plan to restore access.
4.4. Billing Cycle
Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your selection). Your subscription will automatically renew at the end of each billing period unless cancelled.
4.5. Plan Changes
- Upgrades: Take effect immediately. You will be charged a prorated amount for the remainder of your current billing period.
- Downgrades: Take effect at the end of your current billing period. You retain access to your current plan's features until then.
- Cancellation: You may cancel at any time. Access continues until the end of the paid period.
4.6. Price Changes
We may change subscription prices with at least 30 days' notice. Price changes will take effect at the start of your next billing cycle.
5. Refund Policy
5.1. 14-Day Money-Back Guarantee
We offer a 14-day money-back guaranteeon all new subscription purchases. If you're not satisfied with Duckhub within the first 14 days of your purchase, you can request a full refund.
To qualify for a refund under this guarantee:
- Your request must be made within 14 days of your initial purchase
- This applies to first-time purchases of a subscription plan
What's covered:
- Initial subscription purchase (monthly or annual)
- First-time upgrade to a higher plan
What's NOT covered:
- Renewal payments (monthly or annual renewals)
- Requests made after 14 days
- Accounts terminated for Terms of Service violations
5.2. Subscription Renewals
Subscriptions automatically renew at the end of each billing period. Renewal charges are generally non-refundable.
You may cancel your subscription at any time:
- Access continues until the end of your current billing period
- No refund is provided for the remaining unused time
- Your data remains accessible until the period ends
When you downgrade your plan, the change takes effect at the end of your current billing period. No refund is issued for the price difference, and you retain access to your current plan's features until the period ends.
5.3. Annual Subscriptions
The 14-day money-back guarantee applies to annual subscriptions. After the initial 14-day period, annual subscriptions are non-refundable. You may cancel to prevent future renewal, and access continues until the end of your annual period.
5.4. Free Trial
If you started with a free trial, no payment is collected during the trial and no refund applies to trial periods. The 14-day guarantee begins when your first payment is processed.
5.5. Exceptional Circumstances
We may consider refund requests outside the standard policy in cases of:
- Persistent technical problems we cannot resolve
- Service outages affecting your ability to use the Platform
- Duplicate charges
- Incorrect amounts charged
- Unauthorized transactions
5.6. How to Request a Refund
Option 1: Contact Duckhub
Send an email to [email protected] with your account email address, date of purchase, reason for refund request, and any relevant transaction details.
Option 2: Contact PayPro Global
Since PayPro Global is the Merchant of Record and processes all payments, you may also contact them directly — visit the PayPro Global Customer Center to access your purchase history and request a refund, or use the "Get Help" option on your receipt email.
5.7. Refund Processing
Refund requests are reviewed within 2-3 business days. Approved refunds are processed by PayPro Global. Funds typically appear within 5-10 business days, depending on your payment method. Refunds are issued to the original payment method used for the purchase.
5.8. Non-Refundable Situations
Refunds will NOT be provided for:
- Failure to use the service (non-usage is not grounds for refund)
- Change of mind after the 14-day period
- Dissatisfaction with features clearly described before purchase
- Violation of our Terms of Service
- Requests made more than 14 days after purchase
- Third-party service issues not related to Duckhub
5.9. Plan Changes and Proration
When you upgrade to a higher plan, you're charged a prorated amount for the remainder of your billing period. The 14-day guarantee applies to first-time upgrades only.
Additional establishment fees (Golden Duck plan) are prorated when added mid-cycle and follow the same refund policy as the main subscription.
5.10. Disputes
If you're unsatisfied with our refund decision:
- Reply to our response with additional information
- Contact PayPro Global support for an independent review
- As a last resort, you may dispute with your bank/card issuer (note: chargebacks may result in account termination)

6. User Content and Responsibilities
6.1. Your Content
You retain ownership of all content you upload to the Platform ("User Content"), including:
- Menu items, descriptions, and prices
- Images, logos, and media files
- Business information and settings
6.2. License to Duckhub
By uploading User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content solely for the purpose of providing the Platform services.
6.3. Content Responsibility
You are solely responsible for ensuring that your User Content:
- Is accurate and not misleading
- Does not infringe on any third-party intellectual property rights
- Complies with all applicable laws and regulations
- Does not contain harmful, offensive, or illegal material
6.4. Content Moderation
We do not pre-screen User Content but reserve the right to remove any content that violates these Terms or applicable law, without prior notice.
7. Prohibited Uses
7.1. You agree NOT to:
- Use the Platform for any unlawful purpose
- Upload content that infringes intellectual property rights
- Attempt to gain unauthorized access to the Platform or its systems
- Interfere with or disrupt the Platform's operation
- Use automated systems to access the Platform without permission
- Resell or redistribute access to the Platform
- Upload malicious code, viruses, or harmful content
- Harass, abuse, or harm other users
- Misrepresent your identity or affiliation
7.2. Consequences
Violation of these prohibitions may result in immediate account termination without refund.
8. Intellectual Property
8.1. Platform Ownership
All rights, title, and interest in the Duckhub platform, including its design, code, logos, trademarks, and documentation, are owned by FOP TYKHOKHOD DMYTRO OLEKSANDROVYCH.
8.2. Restrictions
You may not:
- Copy, modify, or create derivative works of the Platform
- Reverse engineer or attempt to extract source code
- Remove any proprietary notices or labels
- Use our trademarks without written permission
8.3. Feedback
Any feedback, suggestions, or ideas you provide about the Platform may be used by us without obligation to you.
9. Third-Party Services
9.1. Integrations
The Platform may integrate with third-party services (e.g., Telegram for notifications). Your use of such services is subject to their respective terms and policies.
9.2. Links
The Platform may contain links to third-party websites. We are not responsible for their content or practices.
10. Limitation of Liability
10.1. Disclaimer
The Platform is provided "as is" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
10.2. Limitation
To the maximum extent permitted by law:
- We are not liable for any indirect, incidental, special, consequential, or punitive damages
- We are not liable for any loss of profits, data, or business opportunities
- Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
10.3. Exceptions
Some jurisdictions do not allow limitation of liability for certain damages. In such cases, our liability is limited to the minimum extent permitted by law.
11. Indemnification
You agree to indemnify, defend, and hold harmless Duckhub, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your use of the Platform
- Your User Content
- Your violation of these Terms
- Your violation of any third-party rights
12. Force Majeure
We are not liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including but not limited to:
- Natural disasters
- War, terrorism, or civil unrest
- Government actions or regulations
- Internet or telecommunications failures
- Cyberattacks or security breaches
- Pandemics or public health emergencies
13. Dispute Resolution
13.1. Governing Law
These Terms are governed by the laws of Ukraine.
13.2. Informal Resolution
Before filing any formal dispute, you agree to contact us at [email protected] to attempt resolution.
13.3. Jurisdiction
Any disputes that cannot be resolved informally shall be submitted to the courts of Ukraine at the place of registration of FOP TYKHOKHOD DMYTRO OLEKSANDROVYCH.
14. Changes to Terms
14.1. Modifications
We may modify these Terms at any time. Material changes will be communicated via email or Platform notification at least 30 days before taking effect.
14.2. Continued Use
Your continued use of the Platform after changes take effect constitutes acceptance of the modified Terms.
15. General Provisions
15.1. Entire Agreement
These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Duckhub.
15.2. Severability
If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
15.3. Waiver
Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
15.4. Assignment
You may not assign or transfer your rights under these Terms without our consent. We may assign our rights without restriction.
